End User License Agreement

This End User License Agreement (the "EULA" or "Agreement") is a legal contract between you ("Licensee", "you") and Sellhub Digital Ltd., a company incorporated in British Columbia, Canada (Business No. 735420564BC0001), operating as "SellHub Digital" ("Licensor", "we", "us"). This EULA governs your use of the software products you purchase, download, install, or activate through digital.sellhub.io (each, the "Software").

By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software and request a refund within the 14-day window per our Refund Policy.

1. Definitions

• Software — any executable program, library, plug-in, asset pack, preset library, or supporting file distributed by SellHub Digital, including but not limited to PC Optimizer Pro, FPS Enhancer Elite, Ping Reducer, TextureForge 4K, ShaderForge Elite, DriveOptim Pro, DriverSync Pro, Cinema LUT Collection, NetBoost Pro.
• License Key — the unique alphanumeric activation token delivered to you by email after purchase.
• Authorized Device — a single computing device on which the Software has been activated using your License Key.
• License Term — the duration of your license as purchased: 7-day trial, 1-month, 3-month, or Lifetime.

2. Grant of License

Subject to your continued compliance with this EULA, the Terms of Service, and the Acceptable Use Policy, SellHub Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Install and use the Software on one (1) Authorized Device per License Key, for personal or commercial use as permitted by your tier;
• Receive automatic updates to the Software during your active License Term;
• Receive customer support for the Software during your active License Term.

This is a license, not a sale. SellHub Digital retains all right, title, and interest in the Software, including all intellectual property rights. No ownership of the Software is transferred to you.

3. License Tiers and Term

Your license rights are tied to the tier you purchased:

• Trial (7 days): Full functionality for evaluation purposes only. Commercial use is not permitted under the Trial tier for asset products (TextureForge 4K, ShaderForge Elite, Cinema LUT Collection).
• 1-Month / 3-Month: Time-limited license for the stated period from the date of activation. License automatically expires at the end of the term. There is no auto-renewal.
• Lifetime: Perpetual license for the major version of the Software at the time of purchase. Includes ongoing updates within that major version. Major-version upgrades (e.g., v2 → v3) may require a separate purchase.

4. Device Limits and Transfers

• Each License Key activates the Software on one (1) Authorized Device at a time.
• You may transfer your license to a new Authorized Device by contacting support@sellhub.io with your order ID.
• Transfer limits per year by tier: Trial — none; 1-Month — 1; 3-Month — 2; Lifetime — 3.
• Multi-device or multi-seat licenses are offered as separate SKUs on certain products (e.g., CyberShield 360 in legacy versions). Per-device license is the default unless explicitly stated.

5. Permitted Use

You may:

• Use the Software on your Authorized Device for any lawful purpose consistent with its design.
• Use Software classified as digital assets (textures, LUTs, shaders) in personal or commercial creative projects, provided you hold a paid license tier and observe the royalty-free terms in Section 7.
• Make one (1) backup copy of the Software installer for archival purposes only.
• Receive and install updates pushed through the Software's update channel.

6. License Restrictions

You may NOT, and may not allow any third party to:

• Copy, reproduce, or distribute the Software except as expressly permitted in this EULA;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the limited extent that applicable law expressly permits notwithstanding this restriction;
• Modify, adapt, translate, or create derivative works based on the Software;
• Rent, lease, lend, sell, sublicense, assign, or transfer the Software, your License Key, or any rights granted under this EULA, except as expressly allowed in Section 4 (Transfers);
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
• Use the Software to develop, train, or improve any competing product, including using its outputs as training data for machine learning models;
• Circumvent or attempt to circumvent any license-validation, activation, or anti-piracy mechanism in the Software;
• Use the Software in connection with any unlawful activity, fraudulent purpose, or to violate the terms of service of any third-party platform or service;
• Use the Software to violate the Acceptable Use Policy.

7. Commercial Use and Royalty-Free Rights (Asset Products)

For digital asset products — specifically TextureForge 4K, ShaderForge Elite, and Cinema LUT Collection — paid tiers (1-Month, 3-Month, Lifetime) include a royalty-free commercial-use license. You may:

• Use the assets in personal, freelance, or commercial projects (including games, films, advertisements, client work) without paying additional royalties;
• Modify, combine, or composite the assets with your own work;
• Distribute the assets only as part of a finished, packaged work (e.g., a shipped game or film) — never as standalone assets, asset packs, or template files.

You may NOT:

• Resell or redistribute the raw assets (textures, LUT cube files, shader source) as standalone or packaged libraries;
• Upload assets to NFT marketplaces, asset marketplaces, or stock libraries;
• Use the assets to train generative-AI models or include in datasets for such training.

8. Updates and Modifications

SellHub Digital may release patches, hotfixes, profile updates, and feature additions to the Software during your active License Term. These updates are governed by this EULA and may modify Software behavior. Major version upgrades (denoted by a change to the leading version number, e.g., v2.x → v3.x) may be offered as a separate paid upgrade for Lifetime licensees.

9. Intellectual Property

The Software is protected by Canadian, UAE, and international copyright, trade-secret, and other intellectual-property laws and treaties. SellHub Digital and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade-secret rights, trademarks, and other proprietary rights. The "SellHub Digital" name and logo, along with the names of individual products, are trademarks of Sellhub Digital Ltd. and may not be used without our written permission.

10. Customer Data and Telemetry

The Software may collect limited operational telemetry for the purpose of crash reporting, license validation, and product improvement. This is described in our Privacy Policy. You may opt out of optional telemetry through the Software's settings panel. Essential telemetry (license validation, fraud prevention) cannot be disabled, but no personally identifiable information beyond your License Key and Authorized Device fingerprint is transmitted for that purpose.

11. Termination

This EULA is effective until your License Term ends, you choose to stop using the Software, or this Agreement is otherwise terminated. SellHub Digital may terminate this EULA immediately if you breach any of its terms, particularly Section 6 (Restrictions) or the Acceptable Use Policy.

Upon termination:

• Your License Key will be deactivated;
• You must uninstall all copies of the Software from your Authorized Device(s);
• Your right to receive updates and support ends;
• Sections 6 (Restrictions), 9 (IP), 12 (Disclaimers), 13 (Liability), 14 (Indemnification), and 15 (Governing Law) survive termination.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, either express or implied. SellHub Digital disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Specifically, SellHub Digital does not warrant that:

• The Software will meet your specific requirements or expectations;
• The Software will be uninterrupted, error-free, or free of defects;
• Performance figures published on this website (e.g., "higher FPS", "lower ping") will be reproduced on your specific hardware configuration — actual results vary by hardware, software environment, and usage patterns;
• The Software will be compatible with all future versions of Windows, third-party software, or hardware.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SellHub Digital's total cumulative liability arising out of or relating to this EULA or the Software, regardless of the form of action and whether in contract, tort, statute, or otherwise, shall not exceed the amount you paid for the specific Software in question during the 12 months preceding the event giving rise to the claim.

SellHub Digital shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for loss of profits, loss of data, loss of business opportunity, loss of goodwill, or business interruption, even if SellHub Digital has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless SellHub Digital and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Software; (b) your violation of this EULA; (c) your violation of any rights of another party; or (d) your violation of any applicable laws.

15. Governing Law and Dispute Resolution

This EULA is governed by the laws of the Province of British Columbia, Canada, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising from this EULA shall be resolved in the courts of British Columbia, except where applicable consumer-protection law gives you additional rights in your jurisdiction.

You agree to first attempt to resolve any dispute by contacting support@sellhub.io. If a dispute cannot be resolved within 30 days, either party may pursue formal legal remedies.

16. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to accept this EULA. By installing the Software, you represent that you meet this requirement.

17. Severability

If any provision of this EULA is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

This EULA, together with our Terms of Service, Privacy & Refund Policy, and Acceptable Use Policy, constitutes the entire agreement between you and SellHub Digital regarding the Software, and supersedes any prior agreement or understanding, whether written or oral.

19. Updates to this EULA

SellHub Digital may update this EULA from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated via email to the address associated with your License Key. Continued use of the Software after such notice constitutes acceptance of the revised EULA.
